Purchase Order Terms & Conditions

These Purchase Order Terms and Conditions govern all product sales, shipments, and commercial transactions between Veterans for Pharma, LLC and its customers when purchasing through a Purchase Order (“PO”). By submitting a PO to Veterans for Pharma, LLC, you agree to comply with these terms. Please read them carefully before placing an order.

Products and Orders:

1. All products offered by Veterans for Pharma, LLC are subject to availability and may have limited quantities.

2. Veterans for Pharma, LLC reserves the right to accept, reject, or cancel any PO at its discretion, including but not limited to orders that cannot be fulfilled, violate these terms, or raise concerns regarding creditworthiness or compliance.

3. All orders are subject to applicable shipping, delivery, and return policies unless otherwise agreed in writing.

4. A PO is considered accepted only upon written confirmation from Veterans for Pharma, LLC.

Pricing and Payment:

1. Pricing is as stated in the applicable quotation or PO acknowledgment and may include or exclude taxes, duties, and freight depending on the agreed Incoterms.

2. Unless otherwise specified in writing, payment terms are Net 30 days from the invoice date.

3. Late payments may incur finance charges as permitted by applicable law.

4. Veterans for Pharma, LLC reserves the right to suspend shipments or withhold future orders for accounts past due.

5. Taxes, including sales or use tax, will be applied unless valid exemption documentation is provided prior to invoicing.

Shipping, Delivery, and Risk of Loss:

1. Delivery terms follow the Incoterms specified on the quotation or PO (e.g., DDP, FOB, EXW).

2. Lead times are estimates and may vary due to production, logistics, customs, or carrier delays. Veterans for Pharma, LLC is not liable for delays outside its control.

3. Risk of loss transfers to the customer upon delivery as defined by the agreed Incoterms.

4. The customer is responsible for providing accurate delivery information and ensuring accessibility for carriers.

Inspection and Acceptance:

1. The customer must inspect all products upon delivery.

2. Any claims regarding shortages, damage, or non‑conforming goods must be submitted in writing within 24 hours of receipt.

3. Failure to notify Veterans for Pharma, LLC within this period constitutes acceptance of the products as delivered.

4. Veterans for Pharma, LLC reserves the right to repair, replace, or credit non‑conforming goods at its discretion.

Product Compliance and Warranty:

1. Veterans for Pharma, LLC warrants that products supplied will conform to the specifications provided at the time of sale.

2. No additional warranties, express or implied, including fitness for a particular purpose, are provided unless stated in writing.

3. The customer is responsible for ensuring the products are suitable for their intended use and comply with internal procurement or regulatory requirements.

Returns and Replacements:

1. Returns are accepted only with prior written authorization.

2. Returned products must be unused, in original packaging, and in resalable condition unless the return is due to verified non‑conformance.

3. Unauthorized returns may be rejected or subject to restocking fees.

Limitation of Liability:

1. Veterans for Pharma, LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from the purchase, use, or inability to use the products.

2. Liability for any claim shall not exceed the total amount paid for the specific products giving rise to the claim.

3. Veterans for Pharma, LLC is not responsible for delays, losses, or damages caused by carriers, customs, or events beyond reasonable control.

Force Majeure:

1. Veterans for Pharma, LLC shall not be liable for failure to perform due to events beyond its control, including but not limited to natural disasters, labor disputes, transportation interruptions, government actions, or supply chain disruptions.

2. In such cases, performance timelines will be extended accordingly.

Governing Law:

1. These Purchase Order Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida.

2. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Florida.

Amendments:

1. Veterans for Pharma, LLC reserves the right to modify, update, or change these Purchase Order Terms and Conditions at any time.

2. It is the customer’s responsibility to review the terms periodically.

3. Changes will not apply retroactively to POs already accepted unless mutually agreed in writing.

By submitting a Purchase Order to Veterans for Pharma, LLC, you confirm that you have read, understood, and agreed to be bound by these Purchase Order Terms and Conditions.
